1. Agreement Overview
These Terms and Conditions govern the business relationship between Purcos Cosmetics (hereinafter referred to as "the Manufacturer", "we", "us") and our clients (hereinafter referred to as "you", "the Buyer") for all OEM, ODM and private label cosmetics manufacturing services. By placing an order, requesting a quotation or conducting sample testing, you agree to be bound by the following terms.
2. Service Scope
We provide comprehensive cosmetics manufacturing services including but not limited to:
- Private label / OEM production with custom branding and packaging
- ODM formulation development and product design
- Custom formula modification and sample development
- Bulk production, filling, packaging and quality inspection
- Export documentation and logistics arrangement
3. Order & MOQ Policy
3.1 Minimum Order Quantity
Standard MOQ applies to all private label orders. Specific MOQ varies by product category and packaging complexity. Flexible MOQ options are available for first-time cooperation, subject to separate quotation confirmation.
3.2 Order Confirmation
All orders are formally confirmed via proforma invoice (PI). Production will only be arranged after the deposit is received and all design files, formula details and packaging specifications are approved in writing by both parties.
4. Payment Terms
- Standard payment: 30% deposit upon order confirmation, 70% balance before shipment
- Accepted methods: T/T bank transfer, Western Union, irrevocable L/C at sight (for large orders)
- All prices are quoted in USD and exclude import duties, taxes and destination port charges unless otherwise stated
5. Intellectual Property
For OEM orders, you shall guarantee that all provided trademarks, logos, designs and packaging materials are legally authorized. We shall not be held liable for any intellectual property disputes arising from customer-provided designs.
For custom ODM formulations developed exclusively for your brand, full formula confidentiality will be protected under NDA. Base formulations and mature formulas in our formula library remain the property of Purcos Cosmetics.
6. Production & Lead Time
Standard production lead time is 25–45 days after deposit and design confirmation, depending on order quantity and customization complexity. Sample development takes 7–15 working days.
We will inform you in advance if any delay occurs due to raw material supply issues, regulatory inspection or force majeure events.
7. Quality Assurance
- All products are manufactured under GMP and ISO 22716 certified workshops
- Pre-production samples will be provided for final confirmation before mass production
- Finished goods undergo full quality inspection before shipment
- Product specifications, ingredient lists and test reports are provided as required
8. Liability & Limitation
Under no circumstances shall the Manufacturer be liable for indirect, incidental or consequential damages including loss of profit, business interruption or brand reputation loss. Our total liability shall not exceed the total amount of the relevant order.
